1. Credits

Credits are mandatory for all releases (independent or label, minor or major). They must appear in all metadata, artwork, and digital distribution:

• Producer: GRAUX
• Songwriter: Sébastien GRAUX

Example: "Prod. by GRAUX, Written by Sébastien GRAUX"

Failure to include proper credits is considered a breach and subject to regularization fees and royalty adjustments.

2. Publishing

Covers composition (melody, chords). Major Placements require a split sheet and clearance prior to release.

• Minimum Share: 16.6% to GRAUX (MFN applies; can rise up to 50% in case of uncredited or unauthorized use)

3. Master Rights

Covers recordings. Minor releases are royalty-free (credits mandatory). Major placements are subject to the following royalties:

• 2% Master Royalty: GRAUX credited as co-producer.
• 4% Master Royalty: GRAUX credited as sole producer.
• Up to 50% Master Revenue: may be claimed if credits or clearances are missing or intentionally omitted.

Clear with prod@grauxmusic.com before any major release.

3B. Transmission of Terms

Any creator, beatmaker, or producer using a GRAUX guitar sound (“Licensee”) must accept, apply, and transmit these Terms to any third party (“Sub-licensee”) who later receives, buys, or uses a work containing a GRAUX sound.

• Mandatory Transmission: The Licensee must include these Terms and the credit requirements (“Prod. by GRAUX, Written by Sébastien GRAUX”) in every file, project, or beat they distribute, sell, or share.
• Responsibility Chain: The first Licensee is fully responsible for ensuring that every Sub-licensee follows this License in full.
• No Transfer of Rights: The License is personal, non-transferable, and non-exclusive. Sub-licensing without written approval from prod@grauxmusic.com is a breach of this agreement.
• Breach: If a third party violates these Terms, GRAUX may hold the first Licensee liable until all Terms are enforced and the breach corrected.

This ensures the Royalty-Fair principle applies to every creator in the chain – protecting integrity, ownership, and credit transparency.

4. Compliance

Any missing credit, clearance, or breach must be fixed within 14 days of release or within 14 days of written notice from GRAUX Music. Failure to comply may result in:

• Immediate DSP takedown.
• License termination.
• Claim of up to 50% publishing and/or master revenue.
• Regularization fee (see below).

5. Sync & Global

• Sync (Film/TV/Ads/Games): Requires written clearance at least 30 days prior.
• China: Requires separate agreement – contact prod@grauxmusic.com for clearance.

6. Termination

• Stop monetization/distribution immediately.
• Request DSP takedowns.
• Delete project files.
• Confirm compliance within 7 days.
• Non-compliance = legal action and permanent ban from GRAUX catalog.

7. Legal

• Non-exclusive: Others may license the same melody.
• Non-transferable: License cannot be sold, gifted, or transferred.
• Revocable: Breach terminates license immediately.
• Jurisdiction: Florida, USA (Miami-Dade County).
• No Refunds.
